Terms of Service & End-User License Agreement
These terms govern all use of the DeadSaint Audio Guitar MIDI Processor / VST plugin (the “Software”). By downloading, installing, or using the Software, you agree to be bound.

- Software is provided “AS IS”; we have no liability of any kind.
1) Grant of License
DeadSaint Audio (“Licensor”) grants you (“Licensee”) a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely for creating audio and musical works. No title to or ownership of the Software or any intellectual property rights is transferred.
2) Restrictions
- No sale, resale, rental, lease, lending, sublicensing, assignment, transfer, gifting, or redistribution of the Software or any component (including presets, samples, wavetables, impulse responses, code, graphics, or documentation).
- No sharing by any means, including posting files online, bundling with projects, or placing in sample packs or repository mirrors.
- No reverse engineering, decompilation, disassembly, modification, translation, or creation of derivative works.
- No circumvention, removal, or tampering with copy protection, licensing checks, watermarks, or usage telemetry.
- No use that infringes or violates any right of the Licensor or any applicable law.
3) License Revocation
Licensor may revoke, suspend, or terminate the license at any time, for any reason or no reason, with or without notice, and without liability or refund. Upon revocation, you must immediately cease use and destroy all copies.
4) Ownership
The Software, including all updates, components, artwork, presets, samples, documentation, and related intellectual property, is and remains the sole property of Licensor. All rights not expressly granted are reserved.
5) Activation & DRM
The Software may include license keys, watermarking, hardware/device checks, online verification, usage limits, or similar mechanisms. You consent to such measures and agree not to bypass them. Licensor may alter or disable licenses that are suspected of breach, fraud, or misuse.
6) License & Technical Data
The Software may process minimal technical data necessary for licensing, fraud prevention, and update delivery (e.g., hashed device identifiers, OS version, plugin host version, IP region). Data is used solely to operate licensing and protect the Software.
7) Updates & Changes
Licensor may provide or withhold updates at its sole discretion. Updates are subject to these Terms. Features may change or be removed without notice.
8) Your Content
You retain rights to your musical works rendered using the Software. This license does not grant any rights to redistribute the Software’s files themselves in isolation or as content libraries.
9) No Warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITH NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
10) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, NOR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. IN NO EVENT SHALL LICENSOR’S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE LICENSE.
11) Indemnity
You agree to defend, indemnify, and hold harmless Licensor and its owners, affiliates, and agents from and against all claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising from your use of the Software or breach of these Terms.
12) Termination
These Terms are effective until terminated. Any breach terminates your license automatically. Upon termination, you must cease all use and destroy all copies. Continued use after termination infringes Licensor’s rights.
13) Governing Law; Venue; Waivers
These Terms are governed by the laws of the Commonwealth of Kentucky, U.S.A., without regard to conflicts of law. Exclusive venue lies in state or federal courts located in Jefferson County, Kentucky. You waive any objection to personal jurisdiction and venue, and waive class actions and jury trial to the extent permitted by law.
14) Changes to Terms
Licensor may modify these Terms at any time by posting an updated version. Continued use after the Effective Date of changes constitutes acceptance.

Acceptance
By purchasing, downloading, installing, activating, or using the Software, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and End-User License Agreement.
If you do not agree, do not download, install, or use the Software.
